These Terms of Service ("Terms") govern your access to and use of the website voxeth.com and any related software, products, and services (collectively, the "Service") provided by VoXeth ("VoXeth," "we," "us," or "our"), a company based in Bengaluru, Karnataka, India.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, please do not use the Service.

2. Eligibility

The Service is intended solely for use by individuals who are 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. VoXeth does not knowingly permit use of the Service by individuals under 18.

3. Description of Service

VoXeth builds and provides AI-powered "Digital Human" software for customer support, customer experience, and engagement use cases. Features, functionality, and availability may change, be added, or be discontinued at our discretion, with or without notice.

4. Account Registration

To access certain features, you may need to create an account by providing your name, email address, and phone number.

• You agree to provide accurate, current, and complete information during registration and to keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at contact@voxeth.com of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

5. Acceptable Use

1. Use the Service for any unlawful purpose or in violation of any applicable law, including Indian law.
2. Attempt to gain unauthorized access to our systems, other users' accounts, or data.
3. Interfere with, disrupt, or place undue burden on the Service or its infrastructure (e.g., via bots, scraping, or denial-of-service attempts).
4. Circumvent or attempt to circumvent our security or human-verification measures (e.g., Cloudflare verification).
5. Use the Service to transmit harmful code, malware, or unsolicited communications (spam).
6. Reverse-engineer, decompile, or attempt to extract the source code of our software, except as permitted by law.
7. Misrepresent your identity or impersonate any person or entity.

We reserve the right to suspend or terminate your access if we reasonably believe you have violated these Terms.

• All content, trademarks, logos, software, and technology comprising the Service, including the "VoXeth" name and any AI Digital Human technology, are the exclusive property of VoXeth or its licensors, protected under applicable intellectual property laws.
• Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
• You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software without our prior written consent.

8. Third-Party Services

The Service relies on third-party infrastructure providers, including but not limited to Vercel (hosting), Supabase (database and authentication), Cloudflare (security/verification), and Resend (email delivery). Your use of the Service is also subject to the acceptable use and reliability of these providers, and we are not liable for outages or issues caused by third-party service failures beyond our reasonable control.

9. Fees and Future Payments

The Service is currently provided free of charge. We may, in the future, introduce paid plans, subscriptions, or premium features. If we do so:

• We will provide clear notice of applicable fees, billing terms, and payment processing details before charging you.
• These Terms will be updated to include payment, billing, and refund provisions, and your continued use of paid features will constitute acceptance of those updated terms.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE AI DIGITAL HUMAN OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE CASE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOXETH AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU (IF ANY) TO VOXETH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless VoXeth, its directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may also terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease, and we will handle your personal data in accordance with our Privacy Policy.

14. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
